Milroomie ​Application Terms of Service

BOTTOM LINE UP FRONT: Milroomie exists to help United States service members find roommates. If your account is found to be doing anything nefarious on Milroomie or is suspected of doing anything nefarious, your account will be denied access (and likely blocked/deleted) from using our services.
PREAMBLE:
The ​ Milroomie mobile application (the “Application”, the “App”) and related Milroomie.com ​website (the “Site”) are provided and operated by SOUNDSIDE APP STUDIO LLC in the United States of America (“Milroomie,” “Soundside App Studio,” “we,” “our”, or “us”). The Application allows registered users to utilize the Application to make a profile which can be searched and viewed by other users, message other users, and search for other users with the intent of matching military members with other military members who are stationed or living in the same general area (collectively, the “Services”). These terms of service of use (also known as the “Terms of Service”) and the Privacy Policy ​(which when combined with the Terms of Service also referred to as the “Agreement”) ​​constitute a binding legal agreement between Milroomie and you (the user) and includes the terms which govern your use of the Application.
YOU MAY NOT ACCESS OR USE THE APPLICATION OR SITE IF YOU ARE NOT AT LEAST 18 YEARS OLD. YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT ​BY TAPPING THE “LOG IN”, “SIGN UP”, OR ANY OF THE “LOG IN WITH” OR “SIGN UP WITH” ICON BUTTONS (APPLE, FACEBOOK, GOOGLE, ETC.) LOCATED IN THE APP. ​PLEASE READ THE AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. ​IF YOU DO NOT AGREE TO THE ​AGREEMENT​, THEN YOU SHOULD NOT CLICK THE ICON/BUTTON AND YOU SHOULD NOT ACCESS AND/OR USE THE APPLICATION.
AGE RESTRICTION:
The Application shall not be used by anyone under the age of eighteen (18). By accessing or using the Application or its resources you represent and warrant that you are eighteen (18) years of age or older.
CHANGES:
We reserve the right at any time of our choosing to add, change, update, or modify these Terms of Service. This will be accomplished by posting such add, change, update, or modification on the Application and potentially without any other notice to you, the user. Any such add, change, update, or modification will be immediately effective upon posting on the Application. Significant changes that impact the provision of the Services will generally be communicated to registered users via push notification, in-app alert, email, or through our website. Accordingly, it is your responsibility as the user to review the Agreement periodically in order to ensure that you continue to agree with the Agreement and the content, functionality and output of the Application and ​Services. Each and every time you access and/or utilize the Application and Services, you agree to be bound by the then-current Agreement.
DISCLAIMER​:
TO THE FULLEST EXTENT PROVIDED BY LAW AND EXCEPT AS OTHERWISE PROVIDED HEREIN OR ON THE INFORMATION AND SERVICES OFFERED ON OR THROUGH THE APPLICATION AND ANY REFERENCED THIRD-PARTY SITES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THIS INCLUDES ANY LISTING OF ANY THIRD PARTY GOODS OR SERVICE PROVIDER (INCLUDING PROGRAM PROVIDERS) INCLUDED IN THE APPLICATION. ​YOU ASSUME THE RISK OF ANY AND ALL DAMAGE OR LOSS FROM USE OF, OR INABILITY TO USE, THE APPLICATION.​ ANY THIRD PARTY GOODS OR SERVICE PROVIDER (INCLUDING THE PROGRAM PROVIDER) IS SUPPLIED AS A CONVENIENCE TO THE USER AND LISTING DOES NOT CONSTITUTE SPONSORSHIP, AFFILIATION, PARTNERSHIP, OR ENDORSEMENT.
MILROOMIE ​DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES TO THE FULLEST EXTENT OF THE LAW, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTY OF MERCHANTABILITY, TITLE, AND NON-INFRINGEMENT. ​MILROOMIE ​DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE APPLICATION, OR ANY MATERIAL ON THE APPLICATION IN TERMS OF ITS CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE. ​MILROOMIE DOES NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE.
BY PROVIDING THE SERVICES ON THE APPLICATION, ​MILROOMIE ​DOES NOT IN ANY WAY PROMISE THAT THE SERVICES WILL REMAIN AVAILABLE TO YOU. ​MILROOMIE IS ENTITLED TO TERMINATE ALL OR PART OF ANY OF THE APPLICATION AT ANY TIME, IN ITS SOLE DISCRETION WITHOUT NOTICE TO YOU.
LIMITATION ON LIABILITY​:
MILROOMIE’S LIABILITY TO YOU IS LIMITED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MILROOMIE OR ITS EMPLOYEES OR ITS AGENTS BE LIABLE TO YOU FOR DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR LOST DATA, REGARDLESS OF THE FORESEEABILITY OF THOSE DAMAGES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION OR ANY OTHER MATERIALS OR SERVICES PROVIDED TO YOU BY MILROOMIE. ​THIS LIMITATION SHALL APPLY REGARDLESS OF WHETHER THE DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT, OR ANY OTHER LEGAL THEORY OR FORM OF ACTION.
User Requirements:
When you create an account for Milroomie, you are certifying the following:
-You are at least 18 years old.
-You can form a binding contract with Milroomie.
-You will be respectful and kind to all. You will not bully, stalk, intimidate, harass, or mistreat any other members.
-You will maintain Operational Security (OPSEC) at all times. Be smart and safe.
-You will only have 1 user account. You will be responsible to update your user profile to ensure it is accurate, current and complete.
-You have not already been restricted by Milroomie from using the Application.
-Do not share your account with anyone. Do not create accounts or search for roommates for anyone besides yourself.
-Follow the law at all times. You will comply with this Agreement and all applicable local, state, federal, and international laws, rules and regulations, including without limitation, privacy laws, intellectual property laws, anti-spam laws, and regulatory requirements.
-You will be responsible for maintaining the security of your login credentials that you use to login to Milroomie. You are responsible for all activities that occur under your credentials. If you think that someone has gained access to your account, immediately contacts us at support@soundsideappstudio.com.
USER ACCOUNTS​:
Features of the Application require you to create or maintain an account.
Account Information.​ By submitting a registration form, creating a password, or logging in with an authorized method on the Application, you represent to us that: (1) you meet any age restrictions for the Application, and (2) the information you have provided on your Registration ("Account Information") is true, accurate, current and complete. You will maintain and promptly update your account information using the functionality provided through the Application to keep it true, accurate, current and complete. By registering with the Application, you consent to receive periodic communication from Milroomie regarding the status of your account or other information associated with your account or the Services provided.
Account Passwords.​ You are responsible for maintaining the confidentiality of your password and you are not permitted to share nor disclose your username nor password to anyone else. You will be exclusively responsible for the activities of anyone accessing the Application using the username and password associated with your account, even if the individual is not authorized. If you have reason to believe that your password has been compromised or used without your authorization, you must immediately change it using the functionality provided on the Application and notify us at support@milroomie.com.
USE OF PERSONAL DATA​:
You acknowledge and agree to Soundside App Studio LLC’s collection and use of your Personal Information as described in the “​Privacy Policy​.”
USE OF THE APPLICATION​:
The Application is intended solely for use ​as outlined by Milroomie, which include users accessing and using the Application to attain the functionalities and features of the services offered now or in the future through Milroomie and the Application. You will be required to register an account to access features and services of the Application. Milroomie will not be liable for any loss or damage arising from your failure to keep your account information such as password protected, nor will Milroomie be liable for any loss or damage caused by using the Application. You will notify Milroomie immediately of any unauthorized use of any password or account or any other known or suspected breach of security; and agree not impersonate another user or provide false identity information to gain access to or use the Application.
The Application allows you to submit feedback or comments to Milroomie. By ​posting, uploading, inputting, providing or otherwise submitting feedback or comments to Milroomie, you represent and warrant that your submission is truthful and that you own or otherwise control all of the rights to your submission. You hereby grant Milroomie an unlimited, world-wide, perpetual and royalty free license to use any content included in your feedback or comments submitted to Milroomie.
USE OF GEOLOCATION:
Milroomie does not use global positioning system (GPS) data or features for geolocating users. Location data collected consists of general geographic areas rather than specific coordinates.
USER CONTENT​:
​Milroomie provides an Application to allow you to create your own user profile, including without ​limitation, text, images, and other data. All content published and made available on our Application is the property of SOUNDSIDE APP STUDIO LLC. This includes, and is not limited to images, text, documents, data, and anything that contributes to the composition of our Application.
USER CONDUCT​:
Milroomie is not responsible for the conduct of any member on or off the Application. You agree to use caution in all interactions with other members of the Application, especially if you chose to meet in person and/or communicate outside of the Application. You are responsible for your interactions with other members. You understand that Milroomie does not conduct criminal background checks on its members.
In addition to the above, you represent and acknowledge that you will not:
- Impersonate another user or provide false identity information to gain access to or use the Application.
- Use the Application in any unlawful manner or in any other manner that could disrupt, deny, destroy, damage, disable, or impair the Application.
- Upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable.
- Sell, resell, sublicense, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Application.
- Modify or make derivative works based upon the Application.
- Create Internet links to the Application except for access to the Home Page or platform-specific application stores
- Reverse engineer the Application in order to build a product using similar ideas, features,
- Upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
- Upload, post, transmit, share or otherwise make available any material that contains software viruses or any other malicious computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
- Upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law.
LINKS TO THIRD PARTY APPLICATIONS​:
The Application may contain links to other websites (“Third Party Websites”). We do not control or monitor such Third Party Websites and we are not responsible for any Third Party Websites accessed through the Application. Inclusion of, linking to or permitting the use or installation of any Third Party Website does not imply approval or endorsement by us. If you decide to leave the Application and access the Third Party Website, you do so at your own risk and you should be aware that the Agreement no longer applies to your usage of such Third Party Websites.
FEES:
You (the user) may be required to pay fees to access certain features of the App. Soundside App Studio LLC utilizes industry-leading digital storefronts including but not limited to the Apple App Store and the Google Play Store. Additionally, we utilize reputable third party services in order to allow purchase of virtual services with real world currency. You authorize us to charge all fees as described in these Terms of Service for the App purchase you select to that payment method. Should a credit card be used, we may conduct pre-authorization of your credit card account before your purchase in order to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase. Soundside App Studio LLC reserves the right to enable or disable any in-app purchase of services. Soundside App Studio LLC reserves the right at its sole discretion and without notice to change the rate of exchange for in-app services or the cost of any in-app consumable item. Use of the platform storefront or third party service for purchase of in-app services is governed by the terms of use of that service and any issues with that transaction are to be resolved with that platform storefront or third party service according to their support procedures. You understand and acknowledge that Soundside App Studio LLC is not required to provide a refund for any item for any reason.When you make any in-app purchase, you authorize us to charge your account the purchase amount plus any applicable tax. All fees are in U.S. dollars and are non-refundable, to include any purchases we remove, delete, or otherwise moderate. We may moderate any purchase as we see fit. Further, you understand and acknowledge that you will receive no money or other compensation for unused virtual services or any other in-app resources when an account is closed, when an account is suspended, when the App is under maintenance, offline, closed, or otherwise unavailable, or when your data has been lost, corrupted, deleted, or otherwise unavailable. Soundside App Studio LLC reserves the right at its sole discretion and without notice to remove, delete, suspend, close, or otherwise modify any Application or Service without any compensation to you.
FEDERAL AND STATE LAWS​:
When using the ​Application you represent and warrant that you will obey and comply with all applicable federal, state and local laws. The Application was created in and will be operated from the United States. Any use of the Application that violates any applicable laws will be grounds for discontinuing your rights to access the Application​.
RELATIONSHIP OF THE PARTIES​:
Milroomie and you agree that nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales relationship, or employment relationship between us. You will have no authority to make or accept any offers or representations on our behalf​.
TERMINATION​:
Milroomie may terminate your access to the Application and the Services for any reason, at any time, and at Milroomie’s sole discretion, with or without notice.
SUSPENSION​:
Without limiting our right to terminate your Account, we may also immediately and indefinitely suspend your access to the Application, including, without limitation, all of your data, with or without notice to you, upon any actual, threatened, or suspected breach of these Terms of Use or applicable law or upon any other conduct we deem to be inappropriate or detrimental to the Application, Services, us, or any other customer or user.
INDEMNITY​:
You agree to indemnify, defend, and hold harmless Milroomie, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the Application, your acts or omissions, your violation of these Terms of Service, or your actual or alleged infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. We will notify you promptly of any such claim, loss, liability, or demand, and will provide you with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.
GOVERNING LAW​:
These Terms of Service shall be construed in accordance with and governed by the laws of the State of Florida, and you hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in Florida for all disputes arising out of or related to the use of the Application.
SEVERABILITY; WAIVER​:
If, for whatever reason, a court of competent jurisdiction finds any term in this Agreement to be unenforceable, all other terms of service will remain unaffected and in full force and effect. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.
ASSIGNMENT/CHANGE OF CONTROL​:
You shall not assign your rights or obligations under these Terms of Use to any party without the express written consent of Milroomie. In the event of a change of control of Milroomie or the sale of some or all of Milroomie’s assets, all rights of Milroomie hereunder shall be transferable without notice to you.
ENTIRE AGREEMENT​:
Except if you enter into a separate written Enrollment Agreement with Milroomie, in which case these Terms of Use shall supplement the Enrollment Agreement, this Agreement constitutes the entire agreement between Milroomie and you regarding the use of the Application, superseding any prior agreements between Milroomie and you relating to your use of the Application.​In the event there is a conflict between an Enrollment Agreement and these Terms of Use, the terms of the Enrollment Agreement shall control.
